B.M. Marine Logistics Corp. — Standard Conditions of Use and Legal Framework

1. Scope of Service

These Terms of Service govern the use of routing compliance documentation, regulatory advisory services, and freight scheduling tools provided by B.M. Marine Logistics Corp. under the Canada Shipping Act, 2001. The services are limited to maritime freight routing regulations and compliance advisory for Canadian B2B clients. No guarantee of specific shipping outcomes or transit times is implied.

2. Client Obligations

The client is responsible for providing accurate cargo data, vessel specifications, and intended routing information. Failure to disclose hazardous materials, draft limitations, or restricted zone entries may result in immediate suspension of service. The client must maintain valid Transport Canada documentation for all vessels and crew.

3. Limitation of Liability

B.M. Marine Logistics Corp. shall not be held liable for indirect, incidental, or consequential damages arising from routing decisions, including but not limited to delays, fines, detention costs, or environmental penalties. Our total liability is capped at the fees paid for the specific advisory engagement giving rise to the claim. This limitation is enforceable to the fullest extent permitted by Canadian maritime law.

4. Intellectual Property

All routing algorithms, compliance checklists, regulatory summaries, and proprietary documentation provided through the service remain the intellectual property of B.M. Marine Logistics Corp. The client receives a non-transferable, non-exclusive license to use these materials solely for internal operational planning. Redistribution or resale is strictly prohibited.

5. Termination and Suspension

Either party may terminate the service agreement with 30 days written notice. B.M. Marine Logistics Corp. reserves the right to suspend access immediately if the client violates the Canada Shipping Act, 2001, or any applicable Transport Canada regulation. Upon termination, the client must destroy all proprietary materials and certify compliance in writing.

6. Amendments and Governing Law

These Terms may be amended by B.M. Marine Logistics Corp. with 15 days notice posted to this page. Continued use after the effective date constitutes acceptance. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of Toronto, Ontario.
